Terms of Service

1. Acceptance

These Terms of Service ("Terms") are a legal agreement between SKIFIN (the company that operates Droqify, "Provider") and the entity or individual ("Customer") accessing or using the Droqify platform ("Service"). By creating an account or accessing the Service, you confirm that you have read, understood, and agree to these Terms.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. These Terms do not apply to subprocessors governed by separate data processing agreements.

2. The Service

Droqify is an AI-powered document intelligence platform that provides document ingestion, extraction, classification, schema management, workflow automation, and related services. The specific features available to you depend on your subscription tier (Private or Enterprise) as agreed with Provider.

Provider reserves the right to modify, update, or discontinue features of the Service with reasonable notice. Material reductions in functionality for paid subscriptions will be notified at least 30 days in advance.

3. Accounts and Access

3.1 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify Provider immediately at contact@skifin.com if you suspect unauthorised access to your account. Provider is not liable for losses resulting from unauthorised access caused by your failure to safeguard your credentials.

3.3 Permitted Users

Access is limited to authorised users within your organisation. You may not share accounts or credentials with individuals outside your organisation.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including data protection laws;
  • Upload or process content that infringes intellectual property rights;
  • Attempt to gain unauthorised access to any system, network, or data;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Transmit viruses, malware, or other harmful code;
  • Use the Service to train competing AI models or for benchmarking purposes without written consent;
  • Resell or sublicence access to the Service without written consent from Provider.

Provider reserves the right to suspend access immediately if a violation of this section is suspected, with written notice within 24 hours of suspension.

5. Customer Data

5.1 Ownership

You retain full ownership of all documents, data, and content you upload or process through the Service ("Customer Data"). Provider does not claim any intellectual property rights over Customer Data.

5.2 Licence to Process

You grant Provider a limited, non-exclusive licence to process Customer Data solely to deliver the Service, fulfil Provider's obligations, and (in the Private tier) to operate infrastructure within your own Azure subscription.

5.3 No Training

Provider does not use Customer Data to train, fine-tune, or improve AI models operated by Provider or any subprocessor, except where you have provided explicit written consent.

5.4 Data Isolation

In the Private and Enterprise tiers, all Customer Data is stored exclusively within your own Azure subscription and resource group. There is no shared database tier. See the Security page for full details.

6. Intellectual Property

Provider retains all intellectual property rights in the Service, including the platform software, AI models, schemas, and documentation. These Terms do not transfer any Provider intellectual property rights to you.

Feedback, suggestions, or feature requests you provide to Provider may be used by Provider without restriction or compensation.

7. Fees and Payment

Fees for the Service are set out in a separate Order Form or Subscription Agreement. Unless otherwise agreed:

  • Subscriptions are billed in advance on a monthly or annual basis.
  • Fees are non-refundable except as required by applicable law or as expressly stated in your Order Form.
  • Provider may increase fees on 60 days' written notice. You may terminate your subscription before the price increase takes effect without penalty.
  • Overdue invoices accrue interest at 1.5% per month (or the maximum permitted by law, if lower).

8. Service Levels and Support

Provider targets 99.5% monthly uptime for the Service, measured excluding scheduled maintenance, force majeure, and customer-caused outages. Full service level commitments, incident response times, and support channels are set out in the Service Level Agreement ("SLA") provided with your subscription.

Scheduled maintenance windows are notified at least 72 hours in advance. Maintenance is scheduled outside business hours (09:00–18:00 customer local time) where possible.

9. Compliance and Regulated Data

9.1 HIPAA

If you process Protected Health Information (PHI) as defined under HIPAA, you must execute a Business Associate Agreement (BAA) with Provider before doing so. BAA execution is available for all subscription tiers. Contact contact@skifin.com to request a BAA.

9.2 GDPR

If you process personal data of EEA or UK data subjects through the Service, a Data Processing Agreement (DPA) governs that processing. The DPA is incorporated into and forms part of your Master Services Agreement with Provider.

9.3 Customer Compliance Responsibility

You are responsible for ensuring your use of the Service complies with all laws and regulations applicable to you, including obtaining any necessary consents from data subjects whose data you process through the Service.

10. Confidentiality

Each party agrees to keep the other party's confidential information (including Customer Data and Provider's technical documentation) confidential using at least the same standard of care it uses for its own confidential information, and no less than reasonable care. This obligation survives termination for 5 years.

11. Warranties

Provider warrants that:

  • The Service will perform materially as described in the documentation;
  • Provider will implement and maintain reasonable security measures as described in the Security page;
  • Provider has the right to grant the licences set out in these Terms.

Except as expressly stated, the Service is provided "as is." Provider does not warrant that the Service will be error-free, that AI extraction results will be 100% accurate, or that the Service will meet every particular requirement of Customer.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Provider's total aggregate liability to Customer in any 12-month period is limited to the fees paid by Customer to Provider in that period.
  • Neither party is liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, or data.

These limitations do not apply to liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless SKIFIN and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law.

14. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if the breach is not remedied within 30 days of written notice.

On termination:

  • Your access to the Service will be disabled.
  • You may export your Customer Data within 30 days of termination. After that period, Provider will delete Customer Data in accordance with the Privacy Policy and any applicable DPA.
  • Private tier customers retain their data independently within their own Azure subscription; deletion requires the customer to decommission their own resources.

15. Governing Law

These Terms are governed by the laws of [governing jurisdiction — to be confirmed by legal counsel]. Any disputes arising from these Terms shall be resolved by the courts of that jurisdiction, or as agreed in your Order Form.

16. Changes to These Terms

Provider may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
